iRobot Announces Inducement Grant under Nasdaq Listing Rule 5635(c)(4)

BEDFORD, Mass., Dec. 9, 2024 — iRobot Corp. (NASDAQ: IRBT), a leader in consumer robots, has announced the grant of an equity award as a material inducement for the employment of Jules Connelly, the company’s newly-hired Senior Vice President and Chief Human Resources Officer.

Notice of Issuance of Inducement Grant

In relation to Ms. Connelly’s appointment, effective December 2, 2024, iRobot has granted her an employment inducement award consisting of 120,000 time-based restricted stock units (RSUs). The effective grant date for these RSUs is December 6, 2024. The units will vest over a three-year period, contingent upon Ms. Connelly’s continuous employment on each respective vesting date.

The inducement award was specifically granted as a material inducement for her employment and received approval from iRobot’s Board of Directors on November 4, 2024. This action was taken in compliance with Rule 5635(c)(4) of The NASDAQ Stock Market LLC. Notably, this award was granted outside of iRobot’s equity incentive plan.
